The Corporate Paralegal will assist the Chief Legal Officer and Corporate Secretary with all matters relating to Corporate Governance, Board Relations and EquityAdministration. These dutiesinclude assisting in management ofthe company’s equity docket; overseeing state registration filings; assistance and prep support for Board Meetings; corporate structure management; and preparation of Board resolutions, along with assisting with other legal issues faced by a growing corporation.
Assist with equity administration, including grant documentation.
Manage Section 16 filings and track ownership and transactions among reporting persons.
Prepare Corporate Documents for Board Meetings
Maintain all Board Documentation and Minutes
Manage and maintain all official Corporate Documents and Filings, for parent and subsidiary companies, including any needed formation or dissolution of legal entities, and registration filings
Support all Corporate Initiatives
Support and assistance with M&A transactions (e.g. due diligence, assisting with M&A's), corporate governance (and compliance), and other general corporate matters.
Support the businesses needs around Powers of Attorney; Corporate Information Management; Contracts Support, etc.
Serve as a point of contact with the business on various matters related to the Office of General Counsel and Corporate Governance matters.
Skills we're seeking:
Extraordinary organization skills
Strong attention to detail and customer service skills are essential. Responsiveness to corporate and field staff is critical.
3+years of paralegal experience in a law firm or corporate law department of a public company, with substantial experience record keeping, equity management.
Demonstrated proficiency with Microsoft Word, Excel, PowerPoint
Familiarity with BoardVantage and similar services
Strong verbal and written communication skills
Must be able to work independently in a deadline driven environment

BS degree or equivalent; Paralegal certificate
JD degree holders will also be considered
